1. Acceptance of Terms

By accessing and using the Globa Vitae website and platform (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of the terms, you must not use the Platform.

2. The Globa Vitae Service

Globa Vitae is a leading global nutraceutical ecosystem that provides a seamless, worldwide platform connecting high-quality food supplements (Offers) with performance marketing opportunities. We facilitate the relationship and infrastructure for Advertisers (nutraceutical brands) seeking scale and Publishers (affiliates/media buyers) looking for top-performing offers.

3. Registration and Account Security

• Eligibility: Use of the Platform is limited to individuals and entities that can form legally binding contracts under applicable law.
• Account Information: You are responsible for maintaining the confidentiality of your account details and for all activities that occur under your account. You must provide accurate and complete information during registration.

4. Specific Terms for Advertisers

As an Advertiser on the Globa Vitae Platform, you agree to:

1. Operational Commitment: Utilize the A-Z operational support, worldwide fulfillment, full nutra payment ecosystem, integrated CRM, and billing services provided by Globa Vitae.
2. Offer Compliance: Ensure all nutraceutical products and associated Offers are compliant with the requirements necessary for listing on the Platform, including any required FDA approvals or compliance with local GEO regulations.
3. Fulfillment: Acknowledge that Globa Vitae will manage global fulfillment, shipping, and customer support for your Offers.

5. Specific Terms for Publishers

As a Publisher on the Globa Vitae Platform, you agree to:

1. Traffic Compliance: Ensure all traffic generated for Offers complies with these Terms and the policies of the respective advertising platforms, including Meta, TikTok, and Google. You must use Globa Vitae's full-scale ad infrastructure, compliance tools, and AI technology as required.
2. Ethical Advertising: Ensure all advertising and promotional activities are truthful, non-deceptive, and in full compliance with local laws and regulations concerning the marketing of food supplements.
3. GEO Approvals: Only drive traffic from the specific GEOs for which the Offers have explicit worldwide GEO approvals.

6. Financial Terms and Payment

1. Payments (Advertisers): Advertisers are responsible for fees associated with the Platform services, fulfillment, and commissions paid to Publishers, according to the separate Insertion Orders or Service Agreements.
2. Commissions (Publishers): Publishers will receive commissions based on valid conversions, as defined in the specific Offer terms. Globa Vitae reserves the right to withhold or reverse commissions for fraudulent or non-compliant traffic.
3. Billing and Subscriptions: You agree to the billing and subscription logic for both physical and digital continuity flows as managed by the Platform.

7. Intellectual Property

The Platform, including all content, custom funnels, checkout architectures, code, design, and proprietary infrastructure (including the ad infrastructure and AI technology), is the exclusive property of Globa Vitae or its licensors. You may not reproduce, duplicate, copy, or exploit any portion of the service without express written permission.

8. Limitation of Liability

Globa Vitae, including Hope Pharma Single Member P.C., its directors, employees, partners, agents, suppliers, or affiliates, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

(i) your access to or use of or inability to access or use the Platform

(ii) any conduct or content of any third party on the Platform

(iii) unauthorized access, use, or alteration of your transmissions or content.

9. Indemnification

You agree to defend, indemnify, and hold harmless Globa Vitae and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of

a) your use and access of the Platform, or

b) a breach of these Terms, particularly regarding compliance with nutra regulations and advertising platform rules.

10. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Greece, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Athens, Greece, to resolve any legal matter arising from these Terms.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms, particularly if there is any breach related to compliance or fraudulent activity.
